JUMPSTART OUR BUSINESS STARTUPS (THE 2012 JOBS ACT)
The Texas Crowdfunding Conference will provide a detailed history of what led to the creation and development of a critical piece of new legislation called the Jumpstart Our Business Startups (JOBS) Act, which was signed into law by President Obama on April 5, 2012. As the name implies, the bipartisan political movement will provide entrepreneurs, start-ups, and existing businesses with a monumental new funding mechanism that will make it a great deal easier to access a larger pool of potential financial investors by loosening the regulations for private investment via online Crowdfunding portals.
SEC CROWDFUNDING GUIDELINES
The main focus of the Texas Crowdfunding Conference will be to layout the final rules and regulations that will govern the JOB Act’s final legal investment guidelines, which are currently being drafted by the Securities Exchange Commission (SEC) and scheduled to be formally unveiled in January 2013. We will discuss among other issues, anticipated legal structures and capitalization tables.
PARADIGM SHIFT FOR VENTURE CAPITAL
Crowdfunding represents a fundamental shift towards a new trend that is being branded as a “social investment platform” because it utilizes a blend of social media, digital marketing and publicity tools that make it easy for entrepreneurs market their simple business plans via online portals and allow almost anyone to become an Angel Investor and gain access to equity financial positions prior to an a company’s Initial Public Offering (IPO) without being an “accredited” investor.
NEW JOBS ACT RULES AND REGULATIONS
Current regulations and requirements previously had capped the number of Angel Investors in the United States to approximately 60,000 investors out of a population of 313 million people. Soon the simplification and streamlined Crowdfunding rules of the JOBS Act are expected to increase that number to around 60 million new angel investors in the U.S. alone. If Americans shift just one-percent of the $30 trillion they hold in long-term investments to small business investments, it would amount to more than ten times the venture capital invested in all of 2011. This represents a true paradigm shift in the method and ease of providing venture capital to startups that will radically expand the financial capital markets for a wide diversity of industries ranging from high technology to the performing arts.
While returns are important we know investors deploy capital for a number of reasons. In a recent survey from the Crowdfunding Professional Association it was revealed that 41 percent of responders had a desire to help companies get capital where they couldn’t before, 44 percent wanted to be part of something bigger than themselves, and 35 percent wanted to make a difference in the life of an entrepreneur. Crowdfunding achieves these goals while democratizing access to capital to underserved communities for people who otherwise would not have known where to turn for investment.

The Texas Crowdfunding Conference will be held at the Omni Hotel in Austin, Texas on January 8, 2013 at 8:30 am. The event will be hosted by a Texas entrepreneur and angel investor turned Crowdfunding documentarian, Chris Camillo, who has partnered with The Crowdfunding Professional Association (CfPA) and Startup Texas (Start-up America Partnership) to introduce white papers, research reports, financial forecasts, legal counsel, panel discussions, tutorials and training programs that will serve as a roadmap for anyone that wants to get involved in building a dynamic new financial investment industry that just may save the United States of America from going bankrupt.
The conference is geared towards the leaders in the community to build a solid network for small business owners. We welcome entrepreneurs, investors, incubators, accelerators, vendors, consultants, financial advisors, legal counselors and academic leaders that want to advance their understanding of crowdfund investing by attending this full-day of educational sessions that will be hosted by the world’s leading Crowdfunding subject matter experts.
