Essentials of StartUp Law

Legal mistakes can doom even the best startup concepts and founding teams. In this series, you’ll learn about essential legal issues that startups face, including corporate formation, fundraising documentation, founders’ stock, and board relations. Spanning three sessions, you’ll discuss the formation and organization of the startup, fundraising alternatives, and board relations/corporate governance.

Note: The session fee is purely for covering General Assembly's expenses. Wilson Sonsini sees no proceeds from the course.




Monday, 25 February, 6 – 8 pm

Session I [Forming and organizing the startup, founders stock, and equity incentives]

Explore the decision-making process in forming a startup - including form, timing, documentation, and issues determining the capital structure.

Understand the process involved to issue founder stock, tax consequences and vesting considerations.

Review the compensation and equity incentive structures available to founders to attract and retain new talent.



Monday, 4 March, 6 – 8 pm

Session II [Fundraising alternatives, preferred stock term sheets]

Discuss the alternatives available for startups to raise capital, including convertible notes, preferred stock and common stock.

An overview of term sheets and the due diligence necessary before signing one.



Monday, 11 March, 6 – 8 pm

Session III [Board relations, corporate governance, liquidity & exits]

Discuss key issues in dealing with your board of directors - including the composition of the board, how to run board meetings, and dealing with conflicts of interest.

Explore the important details of good corporate governance for private companies and understand what you need to do now to prepare your company for future growth.

Discuss recent developments in exit events, including the initial public offering process and trends in M&A.

His practice includes mergers and acquisitions, capital markets and securities law, emerging growth company representation, corporate governance. He has practiced corporate law for over 20 years. He began his career in New York City, where he spent eight years before moving to Silicon Valley in Northern California. After practicing for more than seven years in Silicon Valley, he returned to New York City.
